Setting Up a Company in Vietnam: Document Translation Is the First Hurdle

Many enterprises bring domestic templates to register in Vietnam, only to find that terms such as "Business License" and "Articles of Association" look completely different under the Vietnamese legal system. Translation is not merely linguistic; it is a conversion of legal regimes.

Several Core Document Types

1. Investment License (Giấy chứng nhận đăng ký đầu tư) The core credential for foreign investment access in Vietnam. When translating, retain the original number, investment form (100% foreign-owned / joint venture), and the original business scope text to avoid loss of information through free translation.

2. Articles of Association (Điều lệ công ty) The charter structure under Vietnam's Law on Enterprises differs from China's (chapters, shareholder rights expressions). Map clause by clause; do not apply Chinese template phrasing.

3. Due Diligence (Due Diligence / Thẩm định) Financial, legal, and labor reports of the target company. These documents are number‑dense; the translation priority is zero error in figures and units, and a note stating "subject to the Vietnamese original" should be added.

4. Business License / Enterprise Registration Certificate (Giấy chứng nhận đăng ký doanh nghiệp) Distinguish this from the "Investment License" — the former registers the legal entity, the latter grants foreign investment access; they are two distinct documents in Vietnamese.

Do Not Overlook Notarization and Authentication

Chinese documents for use in Vietnam typically require notarization + dual authentication (Ministry of Foreign Affairs + Vietnamese Embassy in China). Translation is usually done after authentication; if the order is wrong, the Vietnamese side will not accept them.
